1. Acceptance of these terms
These Terms of Service govern access to and use of Quotelix websites, apps, software, support channels, and related services, including Quotelix RFQ for Shopify.
By installing, accessing, or using Quotelix, you agree to these terms on behalf of yourself and the merchant, company, or organization you represent.
If you do not agree to these terms, do not install or use Quotelix.
2. The Quotelix service
Quotelix provides software for quote request workflows. Core functionality may include storefront quote forms, quote-only product workflows, merchant quote management, buyer contact details, quote line items, PDF quote documents, transactional emails, plan limits, and order-ready workflows such as draft order preparation.
Quotelix may offer different plans, limits, features, and platform-specific versions. Some features may require a paid plan, platform approval, merchant configuration, or access to specific APIs.
Quotelix is not a marketplace, payment processor, shipping carrier, tax advisor, legal advisor, or party to transactions between merchants and buyers.
3. Merchant accounts and authority
You must have authority to install and configure Quotelix for the store or business you represent.
You are responsible for staff permissions, store access, account security, app configuration, and all activity performed through your store or authorized users.
You must keep platform accounts, credentials, devices, and admin access secure. Quotelix is not responsible for loss or misuse caused by unauthorized access to your store, platform account, or staff account.
4. Merchant responsibilities
You are responsible for your products, catalog information, buyer-facing content, quote form fields, pricing decisions, discounts, taxes, shipping, fulfillment, customer service, and communications with buyers.
You are responsible for ensuring that quote request forms, emails, PDF content, terms offered to buyers, and any resulting order workflows are accurate, lawful, and suitable for your business.
You must not use Quotelix to request or store sensitive personal data unless you have a lawful, necessary, and clearly disclosed reason to do so.
You are responsible for honoring any quote, offer, invoice, draft order, or commercial communication you send to a buyer through or based on Quotelix.
5. Buyer data and privacy
You are responsible for providing your buyers with appropriate privacy notices and obtaining any consent required for quote request collection, email communication, and related processing.
Quotelix processes buyer data to provide the app functionality you request. Our processing practices are described in the Quotelix Privacy Policy.
If a buyer requests access, deletion, correction, objection, or another privacy action, you are responsible for responding to the buyer. Quotelix will provide reasonable assistance where the request relates to data processed by Quotelix.
6. Platform services and third-party providers
Quotelix may depend on third-party platforms and providers, including Shopify, Vercel, Supabase, Resend, and other infrastructure, authentication, email, database, billing, or hosting providers.
Your use of a third-party platform is also governed by that platform's own terms, policies, permissions, and technical limits.
Quotelix is not responsible for outages, API changes, billing rules, permission changes, review requirements, or service limitations imposed by third-party platforms or providers.
7. Billing, plans, and trials
Paid Quotelix plans, trials, recurring charges, plan changes, and cancellations are handled through the relevant platform billing flow where applicable, such as Shopify Billing for the Shopify app.
Plan names, limits, prices, and included features may change over time. The billing screen or platform confirmation page shown at the time of subscription controls the charge you approve.
If a free trial is offered, the trial duration and conversion to a paid subscription are governed by the billing flow presented during subscription approval.
Unless a platform billing flow or applicable law says otherwise, fees are non-refundable once charged. Merchants remain responsible for cancelling subscriptions they no longer want to use.
8. Acceptable use
You must not use Quotelix to violate laws, platform rules, intellectual property rights, privacy rights, anti-spam rules, export controls, or the rights of any person or business.
You must not interfere with the service, test for vulnerabilities without permission, bypass plan limits, abuse APIs, upload malicious content, send fraudulent messages, or use Quotelix to mislead buyers.
You must not use Quotelix for products, services, or communications that are illegal or prohibited by the platform on which your store operates.
9. Emails and communications
Quotelix may send transactional emails related to quote requests, quote responses, app activity, support, account notices, billing, security, and operational updates.
You are responsible for the accuracy and lawfulness of buyer email addresses, quote content, and buyer-facing messages sent from or through your store.
You must not use Quotelix transactional email features to send spam, unrelated marketing, deceptive content, or unlawful communications.
10. Quote documents and order workflows
PDF quote documents, quote statuses, draft order references, and related outputs are generated from merchant configuration, buyer-submitted information, product information, and platform data.
You are responsible for reviewing quote documents and order workflows before sending them to buyers or acting on them.
Quotelix does not guarantee that a generated quote, PDF, draft order, tax amount, discount, or product detail is legally, commercially, or accounting accurate for your business.
11. Intellectual property
Quotelix and its software, design, branding, documentation, workflows, and related materials are owned by Quotelix or its licensors.
These terms give you a limited, non-exclusive, non-transferable right to use Quotelix for your internal business operations while your account or app installation remains active and in good standing.
You retain ownership of your store data, product data, quote data, buyer communications, and business content, subject to the rights needed for Quotelix to provide the service.
12. Feedback
If you provide suggestions, feature requests, bug reports, or other feedback, Quotelix may use that feedback without restriction or compensation, provided we do not disclose your confidential information in doing so.
13. Support
Quotelix may provide support through email or other channels we make available. Support availability, response times, and scope may vary by plan, workload, and issue type.
Support may require access to store domain information, app configuration, quote records, logs, screenshots, or other diagnostic details needed to investigate the issue.
14. Changes, maintenance, and availability
We may modify, add, suspend, or remove features as Quotelix improves, as platform APIs change, or as legal, security, or review requirements evolve.
We aim to keep Quotelix reliable, but we do not guarantee uninterrupted, error-free, or permanent availability.
We may perform maintenance, deploy updates, or limit access where needed to protect security, prevent abuse, comply with law, or preserve service stability.
15. Suspension and termination
You may stop using Quotelix by uninstalling the app, cancelling the relevant subscription, or discontinuing use of the service.
We may suspend or terminate access if you violate these terms, fail to pay approved charges, create security or legal risk, misuse the service, or if a platform requires us to do so.
After termination or uninstall, some data may be deleted, anonymized, retained, or processed according to the Privacy Policy, platform requirements, legal obligations, and backup retention practices.
16. Disclaimers
Quotelix is provided on an as-is and as-available basis to the maximum extent permitted by law.
We do not warrant that the service will be uninterrupted, error-free, secure, compatible with every theme or platform configuration, or suitable for every business use case.
Quotelix does not provide legal, tax, accounting, pricing, procurement, or business advice. You should review generated outputs and consult appropriate professionals where needed.
17. Limitation of liability
To the maximum extent permitted by law, Quotelix will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost revenue, lost data, business interruption, loss of goodwill, or lost business opportunities.
To the maximum extent permitted by law, Quotelix's total liability for any claim related to the service will not exceed the amounts paid by the merchant to Quotelix for the affected service during the three months before the event giving rise to the claim.
Some jurisdictions do not allow certain limitations of liability, so some limitations may not apply to you.
18. Indemnity
To the extent permitted by law, you agree to defend, indemnify, and hold Quotelix harmless from claims, damages, liabilities, costs, and expenses arising from your store, products, quote content, buyer communications, misuse of the service, violation of these terms, or violation of law or third-party rights.
19. Changes to these terms
We may update these terms from time to time. When we make material changes, we will update the date on this page and may provide notice through the app, website, or support channels.
Continued use of Quotelix after updated terms become effective means you accept the updated terms.
